Filing A Memorandum

A friend of mine is wholesaling a property and he is under contract with seller. The assignee which he is assigning to knew he could not close in the time period so 2 days before his contract was up he filed a memorandum to cloud title.

To my knowledge only the person in contract with seller can file the memorandum.
I would like some advice on this. What can be done?

Depends on the County. In some areas, the clerk will not accept a recorded memo unless it is signed by the seller. In others, they will accept a memo signed by anyone for recording. Depending on what the memo says, the title company may ignore it, particularly if it refers to a contract that has expired. But, the assignee could be held liable for “slander of title” to the seller if the memo recorded prevents the seller from selling to another party.
