If a lender assures a close date and fails to have the documentation ready to close on that date, can the purchaser be held liable for costs incurred to the seller due to delay in close? Purchase contract clearly states “on or about” as related to closing date. How should the purchaser respond to a threatening letter from the seller a month after close demanding reimbursement?

If the closing has already taken place, I would say Dealmaker is right. All monies should have been settled at the closing table.

If I’m reading correctly the seller is coming back a month AFTER closing, with his hand out! I’d give that letter about as much attention as I do the letters from “displaced” Nigerian Oil Ministers who are looking to “launder” a few million through my bank account.
