Hello,

Now that I understand that my “C” corp should create the LLC now I am trying to understand the best way for my “C” corp to create the new LLC for maximum effectiveness in liability protection. In other words, should my “C” corp…

1.) Be the “registered agent”?
2.) Be the single member?
3.) elect to be a manager LLC over a member LLC? (its only a single person anyway),

In other words exactly what is the optimal organizational setup for a new LLC created by a “C” corp? My state is asking all of these questions and I am providing the answer in most cases that it should be my “C” corp entity. HELP!

I would consider doing a Limited Partnership. The main reason is the cost. An IL LLC is $400 to start and $200 a year. A IL LP is $75 to start and $25 a yaer.

  1. Ususally need a carbon-based lifeform for registered agent…presumably you!

  2. C as member if you intend for LLC to be subsidiary of C

  3. Member for SMLLC…simpler!
