An LLC that is classified as a partnership or that is disregarded and treated as a sole proprietorship (as opposed to being treated as a corporation) for California tax purposes must pay an annual minimum tax if the LLC (1) is doing business in California or (2) has had its articles of organization accepted or a certificate of registration issued by the Secretary of State. The LLC is not liable for the tax if it did no business in California during the taxable year and the taxable year was 15 days or less. The minimum tax is $800.

In addition, every LLC classified as a partnership or treated as a sole proprietorship and subject to minimum tax must pay an annual fee as follows (for 2000)

250K to >500K $1,042
500K to >$1M $3,126
$1M to >$5M $6,251
$5M and< $9,377

This tax is on GROSS REVENUES, not NET. There is no additional tax on revenues less than $250K, so there is not an additional burden on the smaller investor. However, anyone with an apartment complex or two will run into the tax brackets. This tax is only on income derived within the state.
